NavScora Pty Ltd — Website, MarineOS, RCF Runsheet and related services.

1. About these Terms

These Terms of Use govern access to and use of NavScora Pty Ltd's public website, applications and related services, including MarineOS and RCF Runsheet, except to the extent a separate signed agreement or product-specific terms apply. NavScora Pty Ltd is an Australian company (ACN 73 702 089 021). If an organisation has a Pilot Agreement, SaaS Services Agreement or other written agreement with NavScora, that agreement prevails over these Terms to the extent of any inconsistency for that organisation's use of the relevant service.

2. Purpose of NavScora services

NavScora develops software intended to support maritime operations, safety management, compliance workflows, vessel records, logbooks, training, fatigue risk management, maintenance, incidents, risks, schedules, operational awareness and related business processes. NavScora software is an operational support tool. It is not a substitute for legislation, an approved Safety Management System, official navigational information, required equipment, lawful directions or competent professional judgement.

3. Accounts and authorised use

You may use a NavScora service only if you are authorised by NavScora or the relevant customer organisation. You must provide accurate account information, keep credentials secure, use only your own authorised account, comply with role restrictions and promptly report suspected unauthorised access. You must not bypass security controls, probe or interfere with systems without written authority, introduce malicious code, scrape or extract data unlawfully, attempt to access another tenant or user's information, or use the service for unlawful purposes.

4. Customer administration and roles

Customer organisations may nominate administrators and assign user roles and permissions. Administrators are responsible for granting access only to appropriate personnel and reviewing access when duties change or personnel leave. Role-based permissions are intended to support separation of duties, but the customer remains responsible for its organisational authorisations, supervision and procedures.

5. Operational decision-making

Users remain responsible for situational awareness, safe operation, lawful decisions and compliance with applicable maritime law, vessel procedures, the vessel's Safety Management System, workplace safety requirements and directions from relevant authorities. If information in a NavScora service conflicts with an official instruction, approved procedure, navigational requirement, applicable law or an immediate safety requirement, the authoritative or safer requirement takes precedence.

6. Safety-critical use

Unless NavScora expressly states otherwise in a signed agreement, NavScora software is not a certified navigation, collision-avoidance or emergency-command system and must not be treated as the sole source for safety-critical decisions. Required navigation equipment, official information, emergency procedures and professional judgement must continue to be used.

7. MarineOS and regulatory support

MarineOS is intended to help operators implement, manage, evidence and review safety-management and operational processes. It may include tools for SMS records, logbooks, crew, qualifications, training, fatigue, risk, incidents, maintenance, defects, emergency preparedness, documents and reporting. MarineOS does not itself make an operator compliant, constitute regulatory certification, or replace the operator's responsibility to establish, implement, maintain and review an appropriate SMS and comply with applicable maritime legislation and directions. Regulatory references, alerts and assessments are decision-support information and are not legal advice.

8. Fatigue management

Fatigue calculations, rest-period analysis, warnings and indicators depend on the completeness and accuracy of information supplied and on the rules or thresholds configured for the relevant operation. They assist risk management but do not replace an individual's obligation to report fatigue, a master's responsibility for safe operations or an operator's obligation to manage fatigue risk under its SMS and applicable law.

9. AI-assisted features

NavScora services may include AI-assisted drafting, summarisation, question-answering or proposal features. AI output may be incomplete, inaccurate or inappropriate to a particular operational context and must be reviewed by an authorised person before reliance or use. AI assistance does not have independent authority to approve compliance, amend an SMS, submit a logbook, authorise an operational action or replace a required human decision unless NavScora and the customer expressly agree otherwise in writing and appropriate controls are implemented. Users must not intentionally submit information they are not authorised to process through the relevant AI feature.

10. Records, amendments and evidentiary use

Certain MarineOS records may be designed to preserve an audit trail, including submitted logbooks, amendments, acknowledgements and other evidence. Users must enter information accurately and must not use amendment or void functions to conceal, falsify or improperly alter operational records. The availability of an audit trail does not determine the legal or evidentiary status of a record in every circumstance.

11. RCF Runsheet

RCF Runsheet may provide schedules, shift instructions, vessel and crew movements, fuel or sullage information, GPS-based functionality and automated operational events. GPS, timetable and event information may be affected by device accuracy, connectivity, source data, timetable changes and other conditions. Critical information must be verified where appropriate.

12. Customer data and confidentiality

Customers retain their rights in operational and business information they supply to NavScora, subject to the rights NavScora needs to host, process, secure, support and maintain the service. Users must respect confidential operational, commercial, personnel and vessel information accessible through a NavScora service. Access to information through a service does not grant permission to disclose it to another person.

13. Privacy

Personal information is handled in accordance with the NavScora Privacy Policy, applicable collection notices and any relevant customer agreement. Customers are responsible for their own privacy obligations in relation to information they collect, control or direct users to enter into NavScora services.

14. Third-party services

NavScora may rely on third-party hosting, communications, payment, AI, application-distribution and other technology services. NavScora does not control the continuous availability or accuracy of third-party systems. Integrations may change, be suspended or become unavailable.

15. Availability, maintenance and continuity

NavScora aims to provide reliable services but does not guarantee uninterrupted or error-free operation unless a signed agreement states a specific service level. Services may be affected by maintenance, upgrades, internet or network failures, hosting outages, cybersecurity events, device issues, third-party failures or circumstances outside NavScora's reasonable control. Customers remain responsible for reasonable operational contingency arrangements appropriate to the safety and criticality of their operations.

16. Intellectual property

NavScora owns or licenses the software, interfaces, designs, documentation, branding, templates and underlying technology supplied as part of its services, except for customer-owned material and third-party material. Use of a NavScora service does not transfer ownership of NavScora intellectual property. MarineOS, NavScora and associated branding may be protected by trade mark, copyright and other intellectual-property rights.

17. Feedback

Users and customers may provide suggestions and feedback. Unless otherwise agreed in writing, NavScora may use general feedback to improve its products without transferring ownership of customer confidential information or customer-specific intellectual property.

18. Suspension and termination

NavScora may suspend or restrict access where reasonably necessary to protect security, prevent misuse, comply with law, respond to material breach or give effect to a customer agreement. Termination rights under a signed customer or pilot agreement prevail where applicable.

19. Charges and subscriptions

Where a service is offered for a fee, pricing, billing frequency, taxes, trial periods, renewal and cancellation terms will be stated in the applicable order, checkout, subscription terms or customer agreement. A free pilot does not create a right to continued free use after the pilot ends.

20. Disclaimers

To the extent permitted by law, NavScora does not warrant that its services will be uninterrupted, completely error-free, suitable for every vessel or operation, or sufficient by themselves to satisfy every legal or regulatory obligation. Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy that cannot lawfully be excluded, restricted or modified, including under the Australian Consumer Law where it applies.

21. Liability

To the extent permitted by law, NavScora is not responsible for loss caused by unauthorised use, inaccurate or incomplete customer data, failure to follow official information or approved procedures, use outside documented functionality, or reliance on software where professional verification or a safety-critical source should reasonably have been used. Any specific limitation or allocation of liability for a customer relationship should be set out in the signed customer agreement. These Terms do not purport to exclude liability where exclusion would be unlawful.

22. Changes to services and Terms

NavScora may improve, modify or discontinue features from time to time. Material contractual commitments in a signed customer agreement are not overridden merely by changing these website Terms. NavScora may update these Terms as its products, business and legal obligations evolve. The current version and last-updated date will be published on the website.

23. Governing law

These Terms are governed by the laws of Queensland, Australia. The parties submit to the courts of Queensland and applicable Commonwealth courts, subject to any different dispute or jurisdiction provision in a signed customer agreement.
